Terms of Service

1. Acceptance of Terms

By accessing or using Portavio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Portavio is a portfolio intelligence platform that integrates with Jira Cloud to provide real-time insights, risk detection, team velocity tracking, and project analytics.

3. Account Registration

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must be at least 18 years old to use the Service
• One person or legal entity may maintain only one free account
• You must notify us immediately of any unauthorized access

4. Subscription and Billing

4.1 Free Trial

We offer a 14-day free trial. No credit card is required. At the end of the trial, you must subscribe to continue using the Service.

4.2 Paid Plans

• Starter: $49/month - Up to 3 projects
• Pro: $149/month - Up to 20 projects
• Enterprise: $499/month - Unlimited projects

4.3 Payment Terms

• Subscriptions are billed monthly in advance
• Payments are processed securely through Stripe
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Failed payments may result in service suspension

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware or harmful code
• Attempt to gain unauthorized access
• Interfere with or disrupt the Service
• Use the Service for competitive analysis
• Resell or redistribute the Service
• Remove or modify any proprietary notices

6. Jira Integration

• You must have a valid Jira Cloud subscription
• You grant us permission to access your Jira data
• We only access data necessary to provide the Service
• You are responsible for your Jira API credentials
• We are not responsible for Jira service interruptions

7. Data and Privacy

• Your data is encrypted in transit and at rest
• We do not sell or share your data with third parties
• You retain all rights to your data
• You can export your data at any time

8. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Portavio and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute our intellectual property without permission.

9. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• We may perform scheduled maintenance with notice
• We are not liable for service interruptions beyond our control

10. Termination

10.1 By You

You may cancel your subscription at any time. Access continues until the end of your billing period.

10.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees
• Engage in fraudulent activity
• Pose a security risk

10.3 Effect of Termination

• Your access to the Service will cease
• We will delete your data within 30 days
• You can export your data before termination
• Outstanding fees remain due

11. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTAVIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold Portavio harmless from any claims, losses, or damages arising from your use of the Service or violation of these Terms.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of Germany. Any disputes shall be resolved in the courts of Munich, Germany.
